Information documents for the Program(s) for which Licensee has
acquired entitlements apply.

Two license agreements are presented below.
1. IBM International License Agreement for Evaluation of
Programs
2. IBM International Program License Agreement
If Licensee is obtaining the Program for purposes of
productive use (other than evaluation, testing, trial "try or buy," or
demonstration): By clicking on the "Accept" button below, Licensee accepts
the IBM International Program License Agreement, without
modification.
If Licensee is obtaining the Program for the purpose of
evaluation, testing, trial "try or buy," or demonstration
(collectively, an "Evaluation"): By clicking on the "Accept" button below,
Licensee accepts both (i) the IBM International License Agreement
for Evaluation of Programs (the "Evaluation License"), without
modification; and (ii) the IBM International Program License Agreement
(the "IPLA"), without modification.
The Evaluation License will apply during the term of
Licensee's Evaluation.
The IPLA will automatically apply if Licensee elects to
retain the Program after the Evaluation (or obtain additional
copies of the Program for use after the Evaluation) by entering
into a procurement agreement (e.g., the IBM International
Passport Advantage or the IBM Passport Advantage Express agreements).
The Evaluation License and the IPLA are not in effect
concurrently; neither modifies the other; and each is independent of the
other.
The complete text of each of these two license agreements
follow.
LICENSE INFORMATION
The Programs listed below are licensed under the following
License Information terms and conditions in addition to the Program
license terms previously agreed to by Client and IBM. If Client
does not have previously agreed to license terms in effect for
the Program, the International License Agreement for Evaluation
of Programs (Z125-5543-05) applies.

The following standard terms apply to Licensee's use of the
Program.
Evaluation Period
The evaluation period begins on the date that Licensee
agrees to the terms of this Agreement and ends after 90 days.
Prohibited Uses
Licensee may not use or authorize others to use the
Program, alone or in combination with other services or products, in
support of any of the following high risk activities: design,
construction, control, or maintenance of nuclear facilities, mass transit
systems, air traffic control systems, automotive control systems,
weapons systems, or aircraft navigation or communications, or any
other activity where program failure could give rise to a
material threat of death or serious personal injury.
Supporting Programs
The Program is licensed as a multi-product package and
includes the Supporting Programs identified below. Licensee is
authorized to install and use such Supporting Programs only to support
Licensee's use of the Principal Program under this Agreement and
within the limits of the Proofs of Entitlement for the Program
(unless broader rights are provided elsewhere in this License
Information document). The phrase "to support Licensee's use" would
include only those uses that are necessary or otherwise directly
related to a licensed use of the Principal Program or another
Supporting or Bundled Program. The Supporting Programs may not be used
for any other purpose. Licensee is not authorized to transfer
or remarket the Supporting Programs separate from the
Principal Program. A Supporting Program may be accompanied by license
terms, and those terms, if any, apply to Licensee's use of that
Supporting Program. In the event of conflict, the terms in this
License Information document supersede the Supporting Program's
terms. When Licensee's right to use the Program expires or
terminates, Licensee must discontinue use, destroy or promptly return
all copies of the Supporting Programs to the party from whom
Licensee acquired the Program. If Licensee downloaded the Supporting
Programs, Licensee should contact the party from whom Licensee
acquired the Program. If Licensee wishes to license the Supporting
Programs for any use beyond the limits set forth above, please
contact an IBM Sales Representative or the party from whom Licensee
acquired the Program to obtain the appropriate license.
The following are Supporting Programs licensed with the
Program:

Permitted Components
Notwithstanding any provision in the Agreement, Licensee is
permitted to use only the following components or functions of the
identified Bundled or Supporting Program:
IBM Cloud Private Metering (of IBM Cloud Private Foundation)
Separately Licensed Code
The provisions of this paragraph do not apply to the extent
they are held to be invalid or unenforceable under the law that
governs this license. Each of the components listed below is
considered "Separately Licensed Code". IBM Separately Licensed Code is
licensed to Licensee under the terms of the applicable third party
license agreement(s) set forth in the NON_IBM_LICENSE file(s) that
accompanies the Program. Notwithstanding any of the terms in the
Agreement, or any other agreement Licensee may have with IBM, the
terms of such third party license agreement(s) governs Licensee's
use of all Separately Licensed Code unless otherwise noted
below.
Future Program updates or fixes may contain additional
Separately Licensed Code. Such additional Separately Licensed Code and
related licenses are listed in another NON_IBM_LICENSE file that
accompanies the Program update or fix. Licensee acknowledges that
Licensee has read and agrees to the license agreements contained in
the NON_IBM_LICENSE file(s). If Licensee does not agree to the
terms of these third party license agreements, Licensee may not
use the Separately Licensed Code.
For Programs acquired under the International Program
License Agreement ("IPLA") or International Program License
Agreement for Non Warranted Program ("ILAN") and Licensee is the
original licensee of the Program, if Licensee does not agree with
the third party license agreements, Licensee may return the
Program in accordance with the terms of, and within the specified
time frames stated in, the "Money-back Guarantee" section of the
IPLA or ILAN IBM Agreement.
Note: Notwithstanding any of the terms in the third party
license agreement, the Agreement, or any other agreement Licensee
may have with IBM:
(a) IBM provides this Separately Licensed Code to Licensee
WITHOUT WARRANTIES OF ANY KIND;
(b) IBM DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED
WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY
OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED
WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE, WITH RESPECT TO THE SEPARATELY LICENSED CODE;
(c) IBM is not liable to Licensee, and will not defend,
indemnify, or hold Licensee harmless for any claims arising from or
related to the Separately Licensed Code; and
(d) IBM is not liable for any direct, indirect, incidental,
special, exemplary, punitive or consequential damages including, but
not limited to, lost data, lost savings, and lost profits, with
respect to the Separately Licensed Code.
Notwithstanding these exclusions, in Germany and Austria,
IBM's warranty and liability for the Separately Licensed Code is
governed only by the respective terms applicable for Germany and
Austria in IBM license agreements.
Note: IBM may provide limited support for some Separately
Licensed Code. If such support is available, the details and any
additional terms related to such support will be set forth in the
License Information document.

Source Components and Sample Materials
The Program may include some components in source code form
("Source Components") and other materials identified as Sample
Materials. Licensee may copy and modify Source Components and Sample
Materials for internal use only provided such use is within the
limits of the license rights under this Agreement, provided
however that Licensee may not alter or delete any copyright
information or notices contained in the Source Components or Sample
Materials. IBM provides the Source Components and Sample Materials
without obligation of support and "AS IS", WITH NO WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE,
NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES
AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE.
LICENSE INFORMATION
The Programs listed below are licensed under the following
License Information terms and conditions in addition to the Program
license terms previously agreed to by Client and IBM. If Client
does not have previously agreed to license terms in effect for
the Program, the International Program License Agreement (Z125-
3301-14) applies.

The following standard terms apply to Licensee's use of the
Program.
Limited use right
As described in the International Program License Agreement
("IPLA") and this License Information, IBM grants Licensee a limited
right to use the Program. This right is limited to the level of
Authorized Use, such as a Processor Value Unit ("PVU"), a Resource
Value Unit ("RVU"), a Value Unit ("VU"), or other specified level
of use, paid for by Licensee as evidenced in the Proof of
Entitlement. Licensee's use may also be limited to a specified machine,
or only as a Supporting Program, or subject to other
restrictions. As Licensee has not paid for all of the economic value of
the Program, no other use is permitted without the payment of
additional fees. In addition, Licensee is not authorized to use the
Program to provide commercial IT services to any third party, to
provide commercial hosting or timesharing, or to sublicense, rent,
or lease the Program unless expressly provided for in the
applicable agreements under which Licensee obtains authorizations to
use the Program. Additional rights may be available to Licensee
subject to the payment of additional fees or under different or
supplementary terms. IBM reserves the right to determine whether to make
such additional rights available to Licensee.
Specifications
Program's specifications can be found in the collective
Description and Technical Information sections of the Program's
Announcement Letters.

Components Not Used for Establishing Required Entitlements
When determining the number of entitlements required for
Licensee's installation or use of the Program, the installation or use
of the following Program components are not taken into
consideration. In other words, Licensee may install and use the following
Program components, under the license terms, but these components
are not used to determine the number of entitlements required
for the Program.

Separately Licensed Code
The provisions of this paragraph do not apply to the extent

license agreement(s) set forth in the NON_IBM_LICENSE file(s) that
accompanies the Program. Notwithstanding any of the terms in the
Agreement, or any other agreement Licensee may have with IBM, the
terms of such third party license agreement(s) governs Licensee's
use of all Separately Licensed Code unless otherwise noted
below.
Future Program updates or fixes may contain additional
Separately Licensed Code. Such additional Separately Licensed Code and
related licenses are listed in another NON_IBM_LICENSE file that
accompanies the Program update or fix. Licensee acknowledges that

Redistributables
If the Program includes components that are
Redistributable, they will be identified in the REDIST file that accompanies
the Program. In addition to the license rights granted in the
Agreement, Licensee may distribute the Redistributables subject to the
following terms:
1) Redistribution must be in object code form only and must
conform to all directions, instruction and specifications in the
Program's accompanying REDIST or documentation;
2) If the Program's accompanying documentation expressly
allows Licensee to modify the Redistributables, such modification
must conform to all directions, instruction and specifications
in that documentation and these modifications, if any, must be
treated as Redistributables;
3) Redistributables may be distributed only as part of
Licensee's application that was developed using the Program
("Licensee's Application") and only to support Licensee's customers in
connection with their use of Licensee's Application. Licensee's
Application must constitute significant value add such that the
Redistributables are not a substantial motivation for the acquisition by end
users of Licensee's software product;
4) If the Redistributables include a Java Runtime
Environment, Licensee must also include other non-Java Redistributables
with Licensee's Application, unless the Application is designed
to run only on general computer devices (for example, laptops,
desktops and servers) and not on handheld or other pervasive devices
(i.e., devices that contain a microprocessor but do not have
computing as their primary purpose);
5) Licensee may not remove any copyright or notice files
contained in the Redistributables;
6) Licensee must hold IBM, its suppliers or distributors
harmless from and against any claim arising out of the use or
distribution of Licensee's Application;
7) Licensee may not use the same path name as the original
Redistributable files/modules;
8) Licensee may not use IBM's, its suppliers or
distributors names or trademarks in connection with the marketing of
Licensee's Application without IBM's or that supplier's or
distributor's prior written consent;
9) IBM, its suppliers and distributors provide the
Redistributables and related documentation without obligation of support and
"AS IS", WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR
IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-
INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
10) Licensee is responsible for all technical assistance
for Licensee's Application and any modifications to the
Redistributables; and
11) Licensee's license agreement with the end user of
Licensee's Application must notify the end user that the
Redistributables or their modifications may not be i) used for any purpose
other than to enable Licensee's Application, ii) copied (except
for backup purposes), iii) further distributed or transferred
without Licensee's Application or iv) reverse assembled, reverse
compiled, or otherwise translated except as specifically permitted by
law and without the possibility of a contractual waiver.
Furthermore, Licensee's license agreement must be at least as protective
of IBM as the terms of this Agreement.
Source Components and Sample Materials
The Program may include some components in source code form
("Source Components") and other materials identified as Sample
Materials. Licensee may copy and modify Source Components and Sample
Materials for internal use only provided such use is within the
limits of the license rights under this Agreement, provided
however that Licensee may not alter or delete any copyright
information or notices contained in the Source Components or Sample
Materials. IBM provides the Source Components and Sample Materials
without obligation of support and "AS IS", WITH NO WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE,
NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES
AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE.
For Source Components and Sample Materials listed in a
Program's REDIST file, Licensee may redistribute modified versions of
those Source Components or Sample Materials consistent with the
terms of this license and any instructions in the REDIST file.
The following units of measure may apply to Licensee's use
of the Program.
Processor Value Unit (PVU)
Processor Value Unit (PVU) is a unit of measure by which
the Program can be licensed. The number of PVU entitlements
required is based on the processor technology (defined within the
PVU Table by Processor Vendor, Brand, Type and Model Number at
http://www.ibm.
com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the
Program. IBM continues to define a processor, for the purpose of PVU-
based licensing, to be each processor core on a chip. A dual-core
processor chip, for example, has two processor cores.
Licensee can deploy the Program using either Full Capacity
licensing or Virtualization Capacity (Sub-Capacity) licensing
according to the Passport Advantage Sub-Capacity Licensing Terms (see
webpage below). If using Full Capacity licensing, Licensee must
obtain PVU entitlements sufficient to cover all activated
processor cores* in the physical hardware environment made available
to or managed by the Program, except for those servers from
which the Program has been permanently removed. If using
Virtualization Capacity licensing, Licensee must obtain entitlements
sufficient to cover all activated processor cores made available to or
managed by the Program, as defined according to the Virtualization
Capacity License Counting Rules at http://www.ibm.
com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.
* An Activated processor core is a processor core that is
available for use in a physical or virtual server, regardless of
whether the capacity of the processor core can be or is limited
through virtualization technologies, operating system commands,
BIOS settings, or similar restrictions.
Virtual Processor Core
Virtual Processor Core is a unit of measure by which the
Program can be licensed. A Physical Server is a physical computer
that is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core (commonly called a processor or CPU) is a functional unit
within a computing device that interprets and executes
instructions. A Processor Core consists of at least an instruction
control unit and one or more arithmetic or logic unit. A Virtual
Processor Core is a Processor Core in an unpartitioned Physical
Server, or a virtual core assigned to a Virtual Server. Licensee
must obtain entitlement for each Virtual Processor Core made
available to the Program.
For each Physical Server, Licensee must have sufficient
entitlements for the lesser of 1) the sum of all available Virtual
Processor Cores on all Virtual Servers made available to the Program
or 2) all available Processor Cores on the Physical Server.
Virtual Processor Core-Instance-Hours
Virtual Processor Core-Instance-Hours is a unit of measure
by which the Program can be licensed. An Hour is equal to
sixty (60) minutes. Program usage will be captured in whole
minute increments. A Physical Server is a physical computer that
is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core is a functional unit within a computing device that
interprets and executes instructions. A Processor Core consists of at
least an instruction control unit, and one or more arithmetic or
logic unit. A Virtual Processor Core (VPC) is a Processor Core in

Program, not to include copies of the Program used for backup
purposes, specifically those designated as "cold" or "warm", as
defined in the IBM Software Licensed under the IPLA - Backup Use
Defined Document located here: http://www.ibm.com/softwarepolicies.
Sufficient entitlements must be obtained for the total
number of Hours that each VPC is made available to each Instance
of the Program in the twelve (12) month fixed term. Licensee
is required to use the metering tool provided with the Program
to monitor Licensee's usage of the Program. If the metering
tool is not used, entitlements must be obtained for 720 Hours
per calendar month for each VPC in Licensee's environment that
can be made available to an Instance of the Program, regardless
of whether the VPC is being made available or has been made
available to an Instance of the Program.
In addition to the above, the following terms apply to
Licensee's use of the Program.
For the purposes of this Program, and as long as the
required metering tool is actually used, then entitlements need only
be obtained for a maximum of 160 Hours per calendar month for
each VPC made available to each Instance of the Program.
Licensee use of the Program using the Virtual Processor
Core-Instance-Hours metric is limited to use in Docker and Cloud
Foundry container deployments.
This Program includes the following software which may not
be used for Evil purposes.

for any other purpose. Licensee is not authorized to transfer
or remarket the Supporting Programs separate from the
Principal Program. A Supporting Program may be accompanied by license
terms, and those terms, if any, apply to Licensee's use of that

The provisions of this paragraph do not apply to the extent
they are held to be invalid or unenforceable under the law that
governs this license. Each of the components listed below is
considered "Separately Licensed Code". IBM Separately Licensed Code is
licensed to Licensee under the terms of the applicable third party
license agreement(s) set forth in the NON_IBM_LICENSE file(s) that
accompanies the Program. Notwithstanding any of the terms in the
Agreement, or any other agreement Licensee may have with IBM, the
terms of such third party license agreement(s) governs Licensee's
use of all Separately Licensed Code unless otherwise noted
below.
Future Program updates or fixes may contain additional
Separately Licensed Code. Such additional Separately Licensed Code and
related licenses are listed in another NON_IBM_LICENSE file that
accompanies the Program update or fix. Licensee acknowledges that
Licensee has read and agrees to the license agreements contained in
the NON_IBM_LICENSE file(s). If Licensee does not agree to the
terms of these third party license agreements, Licensee may not
use the Separately Licensed Code.
For Programs acquired under the International Program
License Agreement ("IPLA") or International Program License
Agreement for Non Warranted Program ("ILAN") and Licensee is the
original licensee of the Program, if Licensee does not agree with
the third party license agreements, Licensee may return the
Program in accordance with the terms of, and within the specified
time frames stated in, the "Money-back Guarantee" section of the
IPLA or ILAN IBM Agreement.
Note: Notwithstanding any of the terms in the third party
license agreement, the Agreement, or any other agreement Licensee
may have with IBM:
(a) IBM provides this Separately Licensed Code to Licensee
WITHOUT WARRANTIES OF ANY KIND;
(b) IBM DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED
WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY

Notwithstanding these exclusions, in Germany and Austria,
IBM's warranty and liability for the Separately Licensed Code is
governed only by the respective terms applicable for Germany and
Austria in IBM license agreements.

however that Licensee may not alter or delete any copyright
information or notices contained in the Source Components or Sample
Materials. IBM provides the Source Components and Sample Materials
without obligation of support and "AS IS", WITH NO WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE,
NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES
AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR

Limited use right
As described in the International Program License Agreement
("IPLA") and this License Information, IBM grants Licensee a limited
right to use the Program. This right is limited to the level of
Authorized Use, such as a Processor Value Unit ("PVU"), a Resource
Value Unit ("RVU"), a Value Unit ("VU"), or other specified level
of use, paid for by Licensee as evidenced in the Proof of
Entitlement. Licensee's use may also be limited to a specified machine,
or only as a Supporting Program, or subject to other
restrictions. As Licensee has not paid for all of the economic value of
the Program, no other use is permitted without the payment of
additional fees. In addition, Licensee is not authorized to use the
Program to provide commercial IT services to any third party, to
provide commercial hosting or timesharing, or to sublicense, rent,
or lease the Program unless expressly provided for in the
applicable agreements under which Licensee obtains authorizations to
use the Program. Additional rights may be available to Licensee
subject to the payment of additional fees or under different or
supplementary terms. IBM reserves the right to determine whether to make
such additional rights available to Licensee.

Prohibited Uses
Licensee may not use or authorize others to use the

other activity where program failure could give rise to a

Redistributables
If the Program includes components that are
Redistributable, they will be identified in the REDIST file that accompanies
the Program. In addition to the license rights granted in the
Agreement, Licensee may distribute the Redistributables subject to the
following terms:
1) Redistribution must be in object code form only and must
conform to all directions, instruction and specifications in the
Program's accompanying REDIST or documentation;
2) If the Program's accompanying documentation expressly
allows Licensee to modify the Redistributables, such modification
must conform to all directions, instruction and specifications
in that documentation and these modifications, if any, must be
treated as Redistributables;
3) Redistributables may be distributed only as part of
Licensee's application that was developed using the Program
("Licensee's Application") and only to support Licensee's customers in
connection with their use of Licensee's Application. Licensee's
Application must constitute significant value add such that the
Redistributables are not a substantial motivation for the acquisition by end
users of Licensee's software product;
4) If the Redistributables include a Java Runtime
Environment, Licensee must also include other non-Java Redistributables
with Licensee's Application, unless the Application is designed
to run only on general computer devices (for example, laptops,
desktops and servers) and not on handheld or other pervasive devices
(i.e., devices that contain a microprocessor but do not have
computing as their primary purpose);
5) Licensee may not remove any copyright or notice files
contained in the Redistributables;
6) Licensee must hold IBM, its suppliers or distributors
harmless from and against any claim arising out of the use or
distribution of Licensee's Application;
7) Licensee may not use the same path name as the original
Redistributable files/modules;
8) Licensee may not use IBM's, its suppliers or
distributors names or trademarks in connection with the marketing of
Licensee's Application without IBM's or that supplier's or
distributor's prior written consent;
9) IBM, its suppliers and distributors provide the
Redistributables and related documentation without obligation of support and
"AS IS", WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR
IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-
INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF

10) Licensee is responsible for all technical assistance
for Licensee's Application and any modifications to the
Redistributables; and
11) Licensee's license agreement with the end user of
Licensee's Application must notify the end user that the
Redistributables or their modifications may not be i) used for any purpose
other than to enable Licensee's Application, ii) copied (except
for backup purposes), iii) further distributed or transferred
without Licensee's Application or iv) reverse assembled, reverse
compiled, or otherwise translated except as specifically permitted by
law and without the possibility of a contractual waiver.
Furthermore, Licensee's license agreement must be at least as protective
of IBM as the terms of this Agreement.
Source Components and Sample Materials
The Program may include some components in source code form

Materials for internal use only provided such use is within the
limits of the license rights under this Agreement, provided

Program's REDIST file, Licensee may redistribute modified versions of
those Source Components or Sample Materials consistent with the
terms of this license and any instructions in the REDIST file.
The following units of measure may apply to Licensee's use
of the Program.
Processor Value Unit (PVU)
Processor Value Unit (PVU) is a unit of measure by which
the Program can be licensed. The number of PVU entitlements
required is based on the processor technology (defined within the
PVU Table by Processor Vendor, Brand, Type and Model Number at
http://www.ibm.
com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the
Program. IBM continues to define a processor, for the purpose of PVU-
based licensing, to be each processor core on a chip. A dual-core
processor chip, for example, has two processor cores.
Licensee can deploy the Program using either Full Capacity
licensing or Virtualization Capacity (Sub-Capacity) licensing
according to the Passport Advantage Sub-Capacity Licensing Terms (see
webpage below). If using Full Capacity licensing, Licensee must
obtain PVU entitlements sufficient to cover all activated
processor cores* in the physical hardware environment made available
to or managed by the Program, except for those servers from
which the Program has been permanently removed. If using
Virtualization Capacity licensing, Licensee must obtain entitlements
sufficient to cover all activated processor cores made available to or
managed by the Program, as defined according to the Virtualization
Capacity License Counting Rules at http://www.ibm.
com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.
* An Activated processor core is a processor core that is
available for use in a physical or virtual server, regardless of
whether the capacity of the processor core can be or is limited
through virtualization technologies, operating system commands,
BIOS settings, or similar restrictions.
Virtual Processor Core
Virtual Processor Core is a unit of measure by which the
Program can be licensed. A Physical Server is a physical computer
that is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core (commonly called a processor or CPU) is a functional unit
within a computing device that interprets and executes
instructions. A Processor Core consists of at least an instruction
control unit and one or more arithmetic or logic unit. A Virtual
Processor Core is a Processor Core in an unpartitioned Physical
Server, or a virtual core assigned to a Virtual Server. Licensee
must obtain entitlement for each Virtual Processor Core made
available to the Program.
For each Physical Server, Licensee must have sufficient
entitlements for the lesser of 1) the sum of all available Virtual
Processor Cores on all Virtual Servers made available to the Program
or 2) all available Processor Cores on the Physical Server.
Virtual Processor Core-Instance-Hours
Virtual Processor Core-Instance-Hours is a unit of measure
by which the Program can be licensed. An Hour is equal to
sixty (60) minutes. Program usage will be captured in whole
minute increments. A Physical Server is a physical computer that
is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core is a functional unit within a computing device that
interprets and executes instructions. A Processor Core consists of at
least an instruction control unit, and one or more arithmetic or
logic unit. A Virtual Processor Core (VPC) is a Processor Core in
an unpartitioned Physical Server, or a virtual core assigned

Program, not to include copies of the Program used for backup
purposes, specifically those designated as "cold" or "warm", as
defined in the IBM Software Licensed under the IPLA - Backup Use
Defined Document located here: http://www.ibm.com/softwarepolicies.
Sufficient entitlements must be obtained for the total
number of Hours that each VPC is made available to each Instance
of the Program in the twelve (12) month fixed term. Licensee
is required to use the metering tool provided with the Program
to monitor Licensee's usage of the Program. If the metering
tool is not used, entitlements must be obtained for 720 Hours
per calendar month for each VPC in Licensee's environment that
can be made available to an Instance of the Program, regardless
of whether the VPC is being made available or has been made
available to an Instance of the Program.
In addition to the above, the following terms apply to
Licensee's use of the Program.
For the purposes of this Program, and as long as the
required metering tool is actually used, then entitlements need only
be obtained for a maximum of 160 Hours per calendar month for
each VPC made available to each Instance of the Program.
Licensee use of the Program using the Virtual Processor
Core-Instance-Hours metric is limited to use in Docker and Cloud
Foundry container deployments.
This Program includes the following software which may not
be used for Evil purposes.

IMPORTANT: READ CAREFULLY

If Licensee is obtaining the Program for purposes of
productive use (other than evaluation, testing, trial "try or buy," or
demonstration): By clicking on the "Accept" button below, Licensee accepts
the IBM International Program License Agreement, without
modification.
If Licensee is obtaining the Program for the purpose of
evaluation, testing, trial "try or buy," or demonstration
(collectively, an "Evaluation"): By clicking on the "Accept" button below,
Licensee accepts both (i) the IBM International License Agreement
for Evaluation of Programs (the "Evaluation License"), without
modification; and (ii) the IBM International Program License Agreement
(the "IPLA"), without modification.
The Evaluation License will apply during the term of
Licensee's Evaluation.
The IPLA will automatically apply if Licensee elects to
retain the Program after the Evaluation (or obtain additional
copies of the Program for use after the Evaluation) by entering
into a procurement agreement (e.g., the IBM International
Passport Advantage or the IBM Passport Advantage Express agreements).
The Evaluation License and the IPLA are not in effect
concurrently; neither modifies the other; and each is independent of the
other.

Limited use right

Authorized Use, such as a Processor Value Unit ("PVU"), a Resource
Value Unit ("RVU"), a Value Unit ("VU"), or other specified level
of use, paid for by Licensee as evidenced in the Proof of
Entitlement. Licensee's use may also be limited to a specified machine,
or only as a Supporting Program, or subject to other
restrictions. As Licensee has not paid for all of the economic value of
the Program, no other use is permitted without the payment of
additional fees. In addition, Licensee is not authorized to use the
Program to provide commercial IT services to any third party, to
provide commercial hosting or timesharing, or to sublicense, rent,
or lease the Program unless expressly provided for in the
applicable agreements under which Licensee obtains authorizations to

The following units of measure may apply to Licensee's use

Processor Value Unit (PVU)
Processor Value Unit (PVU) is a unit of measure by which
the Program can be licensed. The number of PVU entitlements
required is based on the processor technology (defined within the
PVU Table by Processor Vendor, Brand, Type and Model Number at
http://www.ibm.
com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the
Program. IBM continues to define a processor, for the purpose of PVU-
based licensing, to be each processor core on a chip. A dual-core
processor chip, for example, has two processor cores.
Licensee can deploy the Program using either Full Capacity
licensing or Virtualization Capacity (Sub-Capacity) licensing
according to the Passport Advantage Sub-Capacity Licensing Terms (see
webpage below). If using Full Capacity licensing, Licensee must
obtain PVU entitlements sufficient to cover all activated
processor cores* in the physical hardware environment made available
to or managed by the Program, except for those servers from
which the Program has been permanently removed. If using
Virtualization Capacity licensing, Licensee must obtain entitlements
sufficient to cover all activated processor cores made available to or
managed by the Program, as defined according to the Virtualization
Capacity License Counting Rules at http://www.ibm.
com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.
* An Activated processor core is a processor core that is
available for use in a physical or virtual server, regardless of
whether the capacity of the processor core can be or is limited
through virtualization technologies, operating system commands,
BIOS settings, or similar restrictions.
Virtual Processor Core
Virtual Processor Core is a unit of measure by which the
Program can be licensed. A Physical Server is a physical computer
that is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core (commonly called a processor or CPU) is a functional unit
within a computing device that interprets and executes
instructions. A Processor Core consists of at least an instruction
control unit and one or more arithmetic or logic unit. A Virtual
Processor Core is a Processor Core in an unpartitioned Physical
Server, or a virtual core assigned to a Virtual Server. Licensee
must obtain entitlement for each Virtual Processor Core made
available to the Program.
For each Physical Server, Licensee must have sufficient
entitlements for the lesser of 1) the sum of all available Virtual
Processor Cores on all Virtual Servers made available to the Program
or 2) all available Processor Cores on the Physical Server.
In addition to the above, the following terms apply to
Licensee's use of the Program.
A. Licensee's use of the Program is limited to use of the
following two features as stated below or as stated in the Other High
Availability Solutions section.
1. Multi-Instance Queue Manager Feature
Licensee is permitted to use the multi-instance queue
manager feature of the Program for Stand-by Purposes only. Stand-by
Purposes are defined as having the Program started, but ensuring
that the Program remains idle unless the active and separately
entitled IBM MQ copy of the program fails over to the high
availability replica Program. If this occurs, the high availability
replica Program may be used to carry out productive work during the
period of failover. The Program is considered "idle" if, until a
failover takes place, it is not used to carry out productive work of
any kind and is used exclusively for administrative actions.
2. Replicated Data Queue Manager Feature
Licensee's use of the replicated data queue manager feature
of the Program requires configuration on three servers and
requires that all queue managers on the three servers be Replicated
Data Queue Managers. Two of the servers may be configured and
entitled as high availability replicas of the Program, but the copy
of IBM MQ on the third configured server must be licensed
separately by obtaining entitlements to IBM MQ Advanced.
B. Other High Availability Solutions
If Licensee chooses to use other high availability
solutions along with the Program, Licensee is permitted to use the
Program as a high availability replica so long as it resides for
backup purposes on a standby server and the Program is not
started. The Program may be started automatically by the high
availability components in the event of the active server failing, in
which event the Program may be used to carry out productive work
during the period of failover.
This Program includes the following software which may not
be used for Evil purposes.

evaluation, testing, trial "try or buy," or demonstration

If the Program is designated as for "Developers", the
Program can only be deployed as part of Licensee's internal
development and unit testing on a developer machine. A developer
machine is a physical or virtual desktop environment, running a
primary operating system and the Program, both of which are
accessible and used by no more than one specified developer. Licensee
is not authorized to use the Program for processing production
workloads, simulating production workloads or testing scalability of
any code, application or system. Licensee is not authorized to
use any part of the Program for any other purposes without
acquiring the appropriate production entitlements.
Components Not Used for Establishing Required Entitlements
When determining the number of entitlements required for
Licensee's installation or use of the Program, the installation or use
of the following Program components are not taken into
consideration. In other words, Licensee may install and use the following
Program components, under the license terms, but these components
are not used to determine the number of entitlements required
for the Program.

license agreement(s) set forth in the NON_IBM_LICENSE file(s) that
accompanies the Program. Notwithstanding any of the terms in the
Agreement, or any other agreement Licensee may have with IBM, the
terms of such third party license agreement(s) governs Licensee's
use of all Separately Licensed Code unless otherwise noted
below.
Future Program updates or fixes may contain additional
Separately Licensed Code. Such additional Separately Licensed Code and
related licenses are listed in another NON_IBM_LICENSE file that
accompanies the Program update or fix. Licensee acknowledges that
Licensee has read and agrees to the license agreements contained in
the NON_IBM_LICENSE file(s). If Licensee does not agree to the
terms of these third party license agreements, Licensee may not
use the Separately Licensed Code.
For Programs acquired under the International Program

1) Redistribution must be in object code form only and must
conform to all directions, instruction and specifications in the
Program's accompanying REDIST or documentation;
2) If the Program's accompanying documentation expressly
allows Licensee to modify the Redistributables, such modification
must conform to all directions, instruction and specifications
in that documentation and these modifications, if any, must be
treated as Redistributables;
3) Redistributables may be distributed only as part of
Licensee's application that was developed using the Program
("Licensee's Application") and only to support Licensee's customers in
connection with their use of Licensee's Application. Licensee's
Application must constitute significant value add such that the
Redistributables are not a substantial motivation for the acquisition by end
users of Licensee's software product;
4) If the Redistributables include a Java Runtime
Environment, Licensee must also include other non-Java Redistributables
with Licensee's Application, unless the Application is designed
to run only on general computer devices (for example, laptops,
desktops and servers) and not on handheld or other pervasive devices
(i.e., devices that contain a microprocessor but do not have
computing as their primary purpose);
5) Licensee may not remove any copyright or notice files
contained in the Redistributables;
6) Licensee must hold IBM, its suppliers or distributors
harmless from and against any claim arising out of the use or

7) Licensee may not use the same path name as the original

8) Licensee may not use IBM's, its suppliers or
distributors names or trademarks in connection with the marketing of
Licensee's Application without IBM's or that supplier's or

concurrently; neither modifies the other; and each is independent of the

The following units of measure may apply to Licensee's use
of the Program.
Processor Value Unit (PVU)
Processor Value Unit (PVU) is a unit of measure by which
the Program can be licensed. The number of PVU entitlements
required is based on the processor technology (defined within the
PVU Table by Processor Vendor, Brand, Type and Model Number at
http://www.ibm.
com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the
Program. IBM continues to define a processor, for the purpose of PVU-
based licensing, to be each processor core on a chip. A dual-core
processor chip, for example, has two processor cores.
Licensee can deploy the Program using either Full Capacity
licensing or Virtualization Capacity (Sub-Capacity) licensing
according to the Passport Advantage Sub-Capacity Licensing Terms (see
webpage below). If using Full Capacity licensing, Licensee must
obtain PVU entitlements sufficient to cover all activated
processor cores* in the physical hardware environment made available
to or managed by the Program, except for those servers from
which the Program has been permanently removed. If using
Virtualization Capacity licensing, Licensee must obtain entitlements
sufficient to cover all activated processor cores made available to or
managed by the Program, as defined according to the Virtualization
Capacity License Counting Rules at http://www.ibm.
com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.
* An Activated processor core is a processor core that is
available for use in a physical or virtual server, regardless of
whether the capacity of the processor core can be or is limited
through virtualization technologies, operating system commands,
BIOS settings, or similar restrictions.
In addition to the above, the following terms apply to
Licensee's use of the Program.
A. Licensee's use of the Program is limited to use of the
following two features as stated below or as stated in the Other High
Availability Solutions section.
1. Multi-Instance Queue Manager Feature
Licensee is permitted to use the multi-instance queue
manager feature of the Program for Stand-by Purposes only. Stand-by
Purposes are defined as having the Program started, but ensuring
that the Program remains idle unless the active and separately
entitled IBM MQ copy of the program fails over to the high
availability replica Program. If this occurs, the high availability
replica Program may be used to carry out productive work during the
period of failover. The Program is considered "idle" if, until a
failover takes place, it is not used to carry out productive work of
any kind and is used exclusively for administrative actions.
2. Replicated Data Queue Manager Feature
Licensee's use of the replicated data queue manager feature
of the Program requires configuration on three servers and
requires that all queue managers on the three servers be Replicated
Data Queue Managers. Two of the servers may be configured and
entitled as high availability replicas of the Program, but the copy
of IBM MQ on the third configured server must be licensed
separately by obtaining entitlements to IBM MQ Advanced.
B. Other High Availability Solutions
If Licensee chooses to use other high availability
solutions along with the Program, Licensee is permitted to use the
Program as a high availability replica so long as it resides for
backup purposes on a standby server and the Program is not
started. The Program may be started automatically by the high
availability components in the event of the active server failing, in
which event the Program may be used to carry out productive work
during the period of failover.

includes the Supporting Programs identified below. Licensee is
authorized to install and use such Supporting Programs only to support
Licensee's use of the Principal Program under this Agreement and
within the limits of the Proofs of Entitlement for the Program
(unless broader rights are provided elsewhere in this License
Information document). The phrase "to support Licensee's use" would
include only those uses that are necessary or otherwise directly
related to a licensed use of the Principal Program or another
Supporting or Bundled Program. The Supporting Programs may not be used
for any other purpose. Licensee is not authorized to transfer
or remarket the Supporting Programs separate from the
Principal Program. A Supporting Program may be accompanied by license
terms, and those terms, if any, apply to Licensee's use of that
Supporting Program. In the event of conflict, the terms in this
License Information document supersede the Supporting Program's
terms. When Licensee's right to use the Program expires or
terminates, Licensee must discontinue use, destroy or promptly return
all copies of the Supporting Programs to the party from whom
Licensee acquired the Program. If Licensee downloaded the Supporting
Programs, Licensee should contact the party from whom Licensee

license agreement(s) set forth in the NON_IBM_LICENSE file(s) that
accompanies the Program. Notwithstanding any of the terms in the
Agreement, or any other agreement Licensee may have with IBM, the
terms of such third party license agreement(s) governs Licensee's
use of all Separately Licensed Code unless otherwise noted
below.
Future Program updates or fixes may contain additional
Separately Licensed Code. Such additional Separately Licensed Code and
related licenses are listed in another NON_IBM_LICENSE file that
accompanies the Program update or fix. Licensee acknowledges that
Licensee has read and agrees to the license agreements contained in
the NON_IBM_LICENSE file(s). If Licensee does not agree to the
terms of these third party license agreements, Licensee may not
use the Separately Licensed Code.
For Programs acquired under the International Program

IPLA or ILAN IBM Agreement.
Note: Notwithstanding any of the terms in the third party
license agreement, the Agreement, or any other agreement Licensee
may have with IBM:
(a) IBM provides this Separately Licensed Code to Licensee
WITHOUT WARRANTIES OF ANY KIND;
(b) IBM DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED
WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY
OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED
WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE, WITH RESPECT TO THE SEPARATELY LICENSED CODE;
(c) IBM is not liable to Licensee, and will not defend,
indemnify, or hold Licensee harmless for any claims arising from or
related to the Separately Licensed Code; and
(d) IBM is not liable for any direct, indirect, incidental,
special, exemplary, punitive or consequential damages including, but
not limited to, lost data, lost savings, and lost profits, with
respect to the Separately Licensed Code.
Notwithstanding these exclusions, in Germany and Austria,
IBM's warranty and liability for the Separately Licensed Code is
governed only by the respective terms applicable for Germany and
Austria in IBM license agreements.
Note: IBM may provide limited support for some Separately
Licensed Code. If such support is available, the details and any
additional terms related to such support will be set forth in the
License Information document.

Source Components and Sample Materials
The Program may include some components in source code form
("Source Components") and other materials identified as Sample
Materials. Licensee may copy and modify Source Components and Sample
Materials for internal use only provided such use is within the
limits of the license rights under this Agreement, provided
however that Licensee may not alter or delete any copyright
information or notices contained in the Source Components or Sample
Materials. IBM provides the Source Components and Sample Materials
without obligation of support and "AS IS", WITH NO WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE,
NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES
AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE.
Prohibited Uses
Licensee may not use or authorize others to use the
Program, alone or in combination with other services or products, in
support of any of the following high risk activities: design,
construction, control, or maintenance of nuclear facilities, mass transit
systems, air traffic control systems, automotive control systems,
weapons systems, or aircraft navigation or communications, or any
other activity where program failure could give rise to a
material threat of death or serious personal injury.
The following units of measure may apply to Licensee's use
of the Program.
Processor Value Unit (PVU)
Processor Value Unit (PVU) is a unit of measure by which
the Program can be licensed. The number of PVU entitlements
required is based on the processor technology (defined within the
PVU Table by Processor Vendor, Brand, Type and Model Number at
http://www.ibm.
com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the
Program. IBM continues to define a processor, for the purpose of PVU-
based licensing, to be each processor core on a chip. A dual-core
processor chip, for example, has two processor cores.
Licensee can deploy the Program using either Full Capacity
licensing or Virtualization Capacity (Sub-Capacity) licensing
according to the Passport Advantage Sub-Capacity Licensing Terms (see
webpage below). If using Full Capacity licensing, Licensee must
obtain PVU entitlements sufficient to cover all activated
processor cores* in the physical hardware environment made available
to or managed by the Program, except for those servers from
which the Program has been permanently removed. If using
Virtualization Capacity licensing, Licensee must obtain entitlements
sufficient to cover all activated processor cores made available to or
managed by the Program, as defined according to the Virtualization
Capacity License Counting Rules at http://www.ibm.
com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.
* An Activated processor core is a processor core that is
available for use in a physical or virtual server, regardless of
whether the capacity of the processor core can be or is limited
through virtualization technologies, operating system commands,
BIOS settings, or similar restrictions.
Virtual Processor Core
Virtual Processor Core is a unit of measure by which the
Program can be licensed. A Physical Server is a physical computer
that is comprised of processing units, memory, and input/output
capabilities and that executes requested procedures, commands, or
applications for one or more users or client devices. Where racks, blade
enclosures, or other similar equipment is being employed, each
separable physical device (for example, a blade or a rack-mounted
device) that has the required components is considered itself a
separate Physical Server. A Virtual Server is either a virtual
computer created by partitioning the resources available to a
Physical Server or an unpartitioned Physical Server. A Processor
Core (commonly called a processor or CPU) is a functional unit
within a computing device that interprets and executes
instructions. A Processor Core consists of at least an instruction
control unit and one or more arithmetic or logic unit. A Virtual
Processor Core is a Processor Core in an unpartitioned Physical
Server, or a virtual core assigned to a Virtual Server. Licensee
must obtain entitlement for each Virtual Processor Core made
available to the Program.
For each Physical Server, Licensee must have sufficient
entitlements for the lesser of 1) the sum of all available Virtual
Processor Cores on all Virtual Servers made available to the Program
or 2) all available Processor Cores on the Physical Server.
In addition to the above, the following terms apply to
Licensee's use of the Program.
A. Licensee's use of the Program is limited to use of the
following two features as stated below or as stated in the Other High
Availability Solutions section.
1. Multi-Instance Queue Manager Feature
Licensee is permitted to use the multi-instance queue
manager feature of the Program for Stand-by Purposes only. Stand-by
Purposes are defined as having the Program started, but ensuring
that the Program remains idle unless the active and separately
entitled IBM MQ copy of the program fails over to the high
availability replica Program. If this occurs, the high availability
replica Program may be used to carry out productive work during the
period of failover. The Program is considered "idle" if, until a
failover takes place, it is not used to carry out productive work of
any kind and is used exclusively for administrative actions.
2. Replicated Data Queue Manager Feature
Licensee's use of the replicated data queue manager feature
of the Program requires configuration on three servers and
requires that all queue managers on the three servers be Replicated
Data Queue Managers. Two of the servers may be configured and
entitled as high availability replicas of the Program, but the copy
of IBM MQ on the third configured server must be licensed
separately by obtaining entitlements to IBM MQ Advanced.
B. Other High Availability Solutions
If Licensee chooses to use other high availability
solutions along with the Program, Licensee is permitted to use the
Program as a high availability replica so long as it resides for
backup purposes on a standby server and the Program is not
started. The Program may be started automatically by the high
availability components in the event of the active server failing, in
which event the Program may be used to carry out productive work
during the period of failover.
This Program includes the following software which may not
be used for Evil purposes.
